Everlaw is looking for an experienced Contracts Manager with superb organization, communication, and collaboration skills to support our business. In this role, you will leverage your experience to review, revise, and negotiate contracts and administer our Ironclad contract management system. You’ll report to our Managing Associate General Counsel, Commercial, and partner with existing Legal team members as well as with Sales, Customer Experience, and Finance.

This is a full-time exempt position located in Oakland, California with a hybrid work schedule: in office M/W/Th with the option to work from home Tu/Fr.

Getting started

In your role, you'll...

  • Review, revise, and negotiate commercial contracts including NDAs, Order Forms, Terms of Service, and inbound/procurement agreements, and work with counsel to redline and negotiate inbound and outbound agreements, including SaaS and other technology agreements, services agreements, and engagement letters.
  • Use, manage, and administer our Ironclad contract management system, including developing and modifying workflows, modifying templates, and working with Sales and Finance to make sure the integration between Salesforce and Ironclad is working properly.
  • Help improve the contract approval process, including improvement of standard form agreements and legal processes, with an emphasis on efficiency and scalability.
  • Help ensure that contracts are executed following corporate guidelines and sound risk management principles.
  • Team with Commercial Counsel on contract negotiations.
  • Proactively improve and create contract templates and playbooks as business needs arise.
  • Lead or support projects directly impacting the growth and scalability of the commercial legal function and the greater Legal department.
  • Identify meaningful metrics to support the iterative improvement of the Commercial Legal team’s effectiveness.

About you

  • You are a creative thinker with strong problem-solving skills and the ability to stay calm under pressure, work independently, handle multiple assignments simultaneously, and effectively manage deliverables with time-sensitive deadlines.
  • You have exceptional written and verbal communication skills and an ability to explain complex ideas clearly and concisely.
  • You have excellent interpersonal and issue-resolution abilities and an eagerness to work in a cross-functional role with the entire Everlaw team.
  • You have earned a Bachelor’s degree and have at least 5 years of experience as a Contracts Manager.
  • You have experience with using and managing Ironclad for a Commercial Legal team.
  • You may have a Juris Doctor, though it is not a requirement.
  • You may have experience with using or managing the Ironclad contract management system. This is preferred but not required.
  • You may have some experience supporting a sales organization and working knowledge of intellectual property law and indemnity clauses.
  • You can explain contract language to a non-legal audience.
  • You have sound independent judgment.

  • The expected salary range for this role is between $120,000 - $145,000. The final offered salary will be dependent upon many factors including the candidate’s experience and skills. The base pay range is subject to change in the future
