As Relyance AI’s Commercial Counsel, you will play a pivotal role in establishing and scaling the legal function. As the first in-house commercial counsel, you will have the opportunity to shape the company’s legal infrastructure and processes while collaborating closely with Sales, Product, and Finance teams to support our rapid growth. You will bring deep expertise in SaaS agreements, data governance, and privacy regulations, ensuring that our commercial operations remain agile, compliant, and business-focused.

As a Commercial Counsel, your role will include:

• Drafting, reviewing, and negotiating a wide range of commercial agreements, including software licenses, data licensing agreements, data processing agreements, service agreements, and strategic partnerships.
• Manage counterparty and internal stakeholders with a focus on driving business value during commercial negotiations.
• Providing legal advice and counsel on a broad range of commercial and legal matters, including data privacy, and intellectual property.
• Conducting legal research and analysis on complex legal issues.
• Advising on and mitigating legal and commercial risks associated with business transactions.
• Working closely with cross-functional teams, including sales, product, and business development, to structure, negotiate, and draft commercial agreements.
• Creating playbooks, templates and other legal collateral in support of commercial motions.
• Monitoring and advising on legal and regulatory developments that may impact the company's business.

Job Requirements:

• Juris Doctor (J.D.) degree from an accredited law school.
• 5+ years of relevant legal experience, preferably at a law firm or in-house at a technology company.
• Experience drafting, reviewing, and negotiating a wide range of commercial agreements, including software licenses, data licensing agreements, and service agreements.
• Strong understanding of data privacy, intellectual property, and antitrust laws.
• Excellent written and verbal communication, interpersonal, and negotiation skills.
• Experience with CLM and optimizing legal operations
• Ability to work independently and as part of a team.

Bonus points for:

• Active membership in the California Bar.
• Experience working with AI/ML technologies.
• Experience as the sole or founding commercial counsel at a startup.
• Background in privacy, data governance, and SaaS contract negotiations.
• Experience with international transactions.

As such, the base salary pay range for this role is $190,000 to $215,000.
