About the role

Chime is seeking an experienced and talented Lead Corporate Counsel to join its growing Legal team. This role will report to the Assistant General Counsel, Corporate and will be integral to the day-to-day activities of Chime’s Corporate Legal team. The Lead Corporate Counsel will support a wide range of corporate legal matters, including governance initiatives, securities law compliance, strategic transactions, subsidiary management and equity plan administration.

The base salary offered for this role and level of experience will begin at $168,570 and up to $238,900. Full-time employees are also eligible for a bonus, competitive equity package, and benefits. The actual base salary offered may be higher, depending on your location, skills, qualifications, and experience.

In this role, you can expect to

  • Assist with a wide range of corporate governance matters, including drafting and implementing corporate policies, preparation of Board and committee meeting materials, supporting stockholder meetings and engagement, and maintaining corporate records
  • Assist with securities law compliance, including with the preparation of periodic, current and other relevant reports, filings and statements
  • Partner with the Equity Administration, Finance, Tax and People teams to administer Chime’s equity plan and compensation programs
  • Support subsidiary management and governance as well as expansion of Chime’s organizational structure
  • Assist with corporate transactions such as equity and debt financings, M&A, investments and other strategic transactions, including performing due diligence, negotiating and drafting definitive agreements, facilitating closing and supporting post-closing integration
  • Partner with Finance, Tax, Treasury, Corporate and Business Development, People and other teams on a variety of projects and initiatives
  • Provide general corporate legal support and assist with other legal matters as necessary

To thrive in this role, you have or are

  • JD from an accredited law school
  • Admitted to the Bar with license to practice in the U.S. states
  • [6-9] years of experience handling corporate legal matters, including reporting related to securities law compliance
  • Strong corporate generalist skill set with experience in governance, securities, strategic transactions, subsidiary management and equity administration
  • Flexibility and eagerness to work hard in a fast-paced environment
  • Highly organized, detail-oriented, process-driven, independent, self-motivated
  • Sound legal and business judgment
  • Excellent communication skills and stakeholder management abilities
  • Relevant experience at a large law firm and/or high-growth in-house environment a plus
  • Collaborative, a team player and eager to contribute to Chime’s growth
